Frances is a senior lawyer who has worked in private legal practice in Sydney, in the city of London, in Jakarta and in Singapore in a broad range of commercial, finance, derivatives, corporate finance and structured finance matters, including cross-border matters, acting for corporate clients, lending agencies and local and offshore banks. She worked in-house for over six years with a major Australian bank.
- advising banks in relation to and drafting facility agreements;
- acting for a real estate investment trust in relation to the secured financing of acquisition of commercial property;
- acting in relation to financing or restructuring in connection with a number of securitisations;
- acting in business sales and share purchases in connection with restructuring and divestment by multinational group;
- acting for private equity investors in relation to acquisition of shares;
- advising in relation to demand guarantees;
- drafting joint venture agreements;
- advising in relation to and drafting contract for sale of coal and related documentation;
- conducting legal due diligence in connection with proposed private equity investment and in relation to proposed purchase of business and real estate;
- advising financial institutions and real estate investment trust on ISDA documentation, advising in relation to credit default swap structures and mis-selling by financial institutions of a number of CDO (collateralised debt obligation) products.
She is admitted to practice as a solicitor and barrister of the Supreme Court of New South Wales and as a solicitor of the Supreme Court of England and Wales and is registered in the High Court of Australia to practice as a solicitor in Federal Courts.
